To the maximum extent permitted by law, ALPHA KAMARA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless ALPHA KAMARA, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Term and Termination

These Terms remain in effect while you use our services. Either party may terminate a service agreement with written notice as specified in the agreement. Upon termination:

• You must pay all outstanding fees for services rendered
• We will deliver all completed work products
• Confidentiality obligations continue to apply
• Provisions that by their nature should survive will remain in effect

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved through:

• Mediation if negotiations fail
• Binding arbitration in Los Angeles County, California
• Litigation in state or federal courts located in Los Angeles County as a last resort

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements and proposals, constitute the entire agreement between you and ALPHA KAMARA regarding our services and supersede all prior agreements and understandings.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

Assignment

You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets with notice to you.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
